Terms of Service.

1. Introduction and acceptance

Welcome to newzealand.ai. These Terms of Service ("Terms") govern your access to and use of the website, community platform, workshops, courses and consulting services (collectively, the "Services") provided by AI New Zealand Limited ("we", "us" or "our").

By accessing or using our Services, creating an account, or purchasing a membership or ticket, you agree to be bound by these Terms and our Privacy Policy. If you are using these Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Services and access

AI New Zealand Limited provides advice, workshops and training to businesses in New Zealand.

2.1 Eligibility

Our Services are intended for business users and professionals. By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding contract under New Zealand law.

2.2 Account registration

To access certain features, such as the community platform or course materials, you may be required to register an account. You agree to:

  • Provide accurate, current and complete information.
  • Maintain the security of your password and account details.
  • Notify us immediately of any unauthorised use of your account.

2.3 The AI Academy platform

The AI Academy runs on Circle, a third party platform, at a separate address from this website and with its own account and login. Your use of the Academy is subject to Circle's own terms as well as these ones. We are responsible to you for the membership we sell and the content we publish there, but we do not control the platform itself and cannot promise it will be available without interruption.

We may add, change or remove Academy features, spaces and content as the community develops. If we make a change that materially reduces what your membership gives you, you may cancel under clause 4.3.

3. Privacy and data protection

Your privacy is paramount. Our collection, use and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

3.1 Compliance with New Zealand law

We comply with the Privacy Act 2020. By using our Services, you consent to the data practices described in our Privacy Policy.

3.2 Data minimisation and rights

We collect only the information necessary to provide our Services. You retain rights to access, correct or request deletion of your personal data as outlined in our Privacy Policy.

3.3 Third party processing

You acknowledge that certain data is processed by third party providers and is subject to their privacy policies in addition to ours: payment and subscription information by Stripe, and your Academy account, profile and posts by Circle.

4. Fees, payments and refunds

4.1 Pricing and payment

Prices for workshops, courses and memberships are in New Zealand Dollars (NZD) unless otherwise stated. We use Stripe to process payments securely. We do not store your full credit card details on our servers.

4.2 Workshops and events

  • Cancellations by you: unless otherwise specified on the event booking page, cancellations made less than 7 days before an in-person workshop are non-refundable.
  • Cancellations by us: if we cancel an event, you are entitled to a full refund or a credit toward a future event.

4.3 Premium Membership

Premium Membership gives you access to the AI Academy and the benefits listed on the membership page. It is an individual membership, sold as either a monthly or an annual subscription, at the price shown on that page at the time you subscribe.

  • Free trial: membership starts with a 7 day free trial. Your card details are collected when you sign up but are not charged during the trial. At the end of the 7 days the subscription begins and the first payment is taken, unless you cancel before then. The trial is available once per person.
  • Billing: the subscription is billed in advance for the term you choose, monthly or annually, and renews automatically at the end of each term until you cancel it. A receipt is issued by email for every payment.
  • Cancelling: you can cancel at any time from your Academy account settings. Your access continues until the end of the term you have already paid for, and stops at that point. We do not refund the unused part of a term, so cancelling an annual subscription part way through leaves the rest of that year available to you rather than refunded.
  • Failed payments: if a payment cannot be collected we may retry it, and may suspend your access until it is paid.
  • Price changes: we will give you at least 30 days notice by email before a change to the membership price applies to you, so you can cancel before it takes effect if you would rather not continue at the new price.
  • One person per membership: Premium Membership is for you individually. You may not share your account or your login with anyone else.

Recorded webinars and workshops in the Academy are provided to be watched in the Academy. They are not available to download, and clause 5.1 applies to them.

5. Intellectual property

5.1 Our content

All content provided by AI New Zealand Limited, including but not limited to course materials, slide decks, frameworks, logos and website copy, is the exclusive intellectual property of AI New Zealand Limited or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use these materials for your own personal or internal business learning purposes. You may not resell, redistribute or reproduce our materials without our express written consent.

5.2 Third party presenters

Workshops or courses may feature content presented by third party experts. Intellectual property rights for such content remain with the respective presenters, and you are granted a licence to use such content solely for the purpose of the specific workshop or course.

5.3 User generated content

By posting content, including posts, comments and images, to our community spaces:

  • You retain ownership of your content.
  • You grant AI New Zealand Limited a non-exclusive, royalty-free, worldwide licence to host, display and reproduce your content within the context of providing the Service.
  • You represent that you have the right to post such content and that it does not infringe on the rights of others.

6. User conduct

We are a professional community. You agree not to:

  • Harass, abuse or threaten other members or staff.
  • Post content that is unlawful, defamatory or promotes hate speech.
  • Use the Services to send unsolicited commercial messages (spam).
  • Scrape or collect data from our Services using automated means.
  • Attempt to bypass any security measures of the platform.
  • Share member-only content, recordings or materials outside the community, or give anyone else access to your account.
  • Record or republish live sessions without our written consent.
  • Use another member's personal information, or the member directory, to send unsolicited approaches.

We reserve the right to suspend or terminate the accounts of users who violate these guidelines, with data retention or deletion handled in accordance with our Privacy Policy.

If we suspend or end a paid membership because you have breached these Terms, the remaining part of that billing period is not refunded. If we end your membership for any other reason, we refund the unused part of the period you have paid for.

7. Disclaimers and limitation of liability

7.1 General advice warning

The information provided through our workshops, courses, consulting and community is for educational and general informational purposes only. It does not constitute legal, financial or specific organisational advice.

  • AI technology evolves rapidly; information accurate at the time of publication may become outdated.
  • You should obtain specific professional advice before making business decisions based on AI outputs or our content.

7.2 AI outputs

You acknowledge that artificial intelligence tools discussed or demonstrated may produce inaccurate or "hallucinated" results. AI New Zealand Limited is not responsible for the output of any third party AI tools you use based on our training.

7.3 Consumer Guarantees Act

Nothing in these Terms is intended to limit your rights under the Consumer Guarantees Act 1993 if you are not acquiring the services for business purposes. However, if you are acquiring our Services for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply.

7.4 Limitation of liability

To the fullest extent permitted by New Zealand law, AI New Zealand Limited shall not be liable for any indirect, incidental, special or consequential damages arising out of or in connection with your use of the Services. Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid to us for the Service in the 12 months preceding the claim.

8. Modifications to Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. We will notify users of material changes by email or a prominent notice on our platform. Continued use of the Services after such changes constitutes acceptance of the new Terms.

9. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of New Zealand.

  • Disputes: we encourage you to contact us first to resolve any issues.
  • Jurisdiction: any legal disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of New Zealand.
